2. Eligibility & Account Registration

• You must be at least 18 years of age.
• You must provide complete and accurate business information.
• DLT registration is mandatory for SMS services where required by TRAI.
• You are responsible for protecting your account credentials and API keys.

3. Description of Services

We reserve the right to modify, suspend, or discontinue any Service at any time.

4. Acceptable Use Policy

You agree not to use our platform for:

• Spam or unsolicited commercial communications.
• Illegal, defamatory, obscene or fraudulent content.
• Malware, phishing or deceptive activities.
• Content violating telecom or Meta/WhatsApp policies.

You are solely responsible for obtaining all required user consent before sending messages.

5. DLT & Regulatory Compliance

• All commercial SMS must comply with TRAI DLT regulations.
• You are responsible for Sender ID and Template approvals.
• MessagesWave is not responsible for delivery failures caused by DLT rejection.
• You must comply with applicable local and international communication laws.

6. Fees & Payment

• Pricing is based on your selected plan or signed quotation.
• Applicable GST and taxes are extra unless otherwise specified.
• Late payments may result in service suspension.
• Payments are generally non-refundable unless required by law.

7. Service Availability

We strive to maintain 99.99% uptime. However, service availability depends upon telecom operators, cloud providers, Meta/WhatsApp, internet providers and other third-party infrastructure.

We are not liable for delays caused by network congestion, DLT rejection, operator restrictions or force majeure events.

8. Intellectual Property

• All software, branding, logos and platform content remain the property of MessagesWave.
• You may not reproduce or reverse engineer our platform.
• Website ownership transfers only after full payment for development projects unless agreed otherwise.

9. Privacy & Data Protection

Our collection and use of personal information is governed by our Privacy Policy.

You confirm that all customer contact data uploaded to our platform has been collected with appropriate consent.

10. Limitation of Liability

To the maximum extent permitted by law, MessagesWave shall not be liable for indirect, incidental or consequential damages, including business interruption, data loss or lost profits.

Our maximum liability shall not exceed the fees paid during the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless MessagesWave, its directors, employees, partners and affiliates against any claims, liabilities or legal expenses arising from your misuse of our Services or violation of applicable laws.

12. Termination

• Either party may terminate according to the applicable service agreement.
• Accounts may be suspended immediately for fraud or illegal activities.
• Outstanding invoices remain payable after termination.

13. Third-Party Services

Our Services may integrate with Meta, WhatsApp, telecom carriers, cloud hosting providers and other third-party platforms. Their availability and policies remain outside our control.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall fall under the jurisdiction of the courts of Gurugram, Haryana, or through arbitration where mutually agreed.

15. Changes to These Terms

We may revise these Terms periodically. Continued use of our Services constitutes acceptance of the updated Terms.
